Offers an opportunity for critical reflection on corporate governance mechanisms in the Australian legal terrain. It is designed to develop critical evaluative skills to enhance effective governance performance of bodies and individuals in corporate entities. The aim of the unit is to facilitate an innovative and integrated understanding of legal mechanisms and practices inherent in the governance of corporations, in their various forms, in the commercial and social settings.

Learning outcomes

Unit Learning Outcomes express learning achievement in terms of what a student should know, understand and be able to do on completion of a unit. On completion of this unit, students should be able to:

  • Understand the underlying themes and issues and the key legal principles relating to corporate governance
  • Apply legal reasoning and research to generate appropriate responses to legal problems in the law of corporate governance
  • Apply critical judgment including analysis, reasoning, and appropriate, directed research to the law of corporate governance
  • Identify and comment on the policy issues which arise in various topics, including the need for law reform where the law is considered deficient
